By accessing or using our website and/or related services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). 1. Definitions
User/you: Any individual or organization accessing the website, creating an account, posting jobs, submitting resumes, or using the Services (including Employers, Candidates, Learners).
Employer: Entity posting jobs, purchasing service packages, or using Executive Search/Referral services.
Candidate: Individual posting a resume/CV, applying for jobs, receiving career consulting, or being introduced to Employers.
User Content: Information, data, job posts, resumes, documents, images, logos, links, or other materials you submit or upload.
2. Scope and Acceptance
These Terms govern your use of the website and online Services. Certain Services may be subject to separate agreements (e.g., Executive Search Agreement, Training Agreement, Order Forms). In case of conflict, the specific agreement prevails. Continued use after updates indicates your acceptance of the changes.
3. Accounts & Security
- You must be at least 16 years old and have legal capacity to use the Services.
- Provide accurate, complete, and up-to-date registration information.
- You are responsible for safeguarding your credentials and for activities under your account.
- We may suspend/terminate accounts for policy violations, fraud, identity misuse, rights infringement, or security risks.
4. Acceptable Use
You must not:
- Submit false, misleading, unlawful, infringing, or discriminatory content.
- Post illegal or non-genuine jobs.
- Scrape data, interfere with systems, distribute malware, or spam.
- Misuse data obtained via the Services.
- Engage in unfair competition or unauthorized advertising.
We may hide/remove content, refuse service, and/or notify authorities where required by law.
5. Intellectual Property
All site design, compilations, software modules, and training materials are owned by the Company or properly licensed. Any reproduction, modification, or redistribution requires prior written consent.
For User Content, you grant the Company a worldwide, non-exclusive, transferable, royalty-free license to use, host, store, reproduce, adapt, display, and distribute it as necessary to operate the Services (e.g., display jobs/resumes, transmit to relevant Employers).
6. Privacy & Personal Data
We collect and process personal data in accordance with our Privacy Policy and applicable laws (including Vietnam's personal data protection rules).
By submitting data (e.g., resumes, referrals), you confirm you have a lawful basis (such as the individual's consent). Employers agree to fulfill all obligations of a data controller/processor when receiving candidate data from the Services.

7. Service-Specific Terms
7.1 Executive Search (Headhunt)
We act as an advisor introducing suitable candidates for defined roles. Candidate profiles are shared only for the relevant vacancy and must not be used beyond recruitment purposes or passed to third parties without a lawful basis. Fees, replacement/warranty (if any), timelines, and obligations are stipulated in the Executive Search Agreement or quotation. If you hire/interview a presented candidate within the agreed introduction period, corresponding fees apply.
7.2 Training & Development
Course content, schedule, cancellation/reschedule rules, attendance, and permitted use of training materials are defined in the training proposal/contract. Learning materials are proprietary or licensed; do not copy or distribute without consent.
7.3 Job Posting
Employers are fully responsible for the accuracy and legality of job ads (truthful description, non-discriminatory criteria, valid contact). We may review, refuse, or remove posts that appear unlawful, misleading, or harmful to Candidates.
7.4 Career Consulting
Consulting is for guidance only and does not guarantee employment, compensation, or outcomes. Session scope, scheduling, and fees (if applicable) follow the published package terms.
7.5 Resume/CV Posting
You may choose visibility modes (public/limited) and consent to share your profile with relevant Employers. You are responsible for keeping your resume accurate and current.
7.6 Candidate Referral/Introduction
When you or a partner refer a candidate, acknowledgment and any referral fee are governed by the published program rules or a separate agreement. You must have the candidate's consent before submitting their information.
8. Fees, Payments & Invoices
Paid packages, pricing, and payment methods are shown on the website or in quotations/contracts. Unless stated otherwise, fees are non-refundable except where required by law or expressly committed in writing. Invoices are issued based on details you provide.
9. Third-Party Content & Links
Our website may include third-party content or links. We do not control and are not responsible for third-party sites, policies, or practices.
10. Disclaimer
The Services are provided on an "as is" and "as available" basis. To the extent permitted by law, we do not warrant uninterrupted, error-free operation or absolute accuracy of all content at all times.
11. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability for any claims relating to the Services (contract, tort, or otherwise) shall not exceed the service fees you paid to us for the preceding three (3) months related to the claim (if any).
12. Indemnification
You agree to indemnify and hold the Company, its personnel, and partners harmless from any claims, losses, and reasonable legal fees arising out of: (i) your breach of these Terms; (ii) infringement of third-party rights; or (iii) misuse of the Services/data.
13. Compliance & Fair Hiring
You will comply with Vietnamese law, including labor, employment, personal data protection, cybersecurity, IP, e-commerce, and tax regulations. Employers commit to equal opportunity hiring without unlawful discrimination unless a bona fide occupational requirement applies.
14. Suspension & Termination
We may suspend or terminate access if you violate these Terms or create security/compliance risks. You may stop using the Services at any time. Obligations that by nature survive (fees, privacy, lawful data use, IP) remain in effect after termination.
15. Changes to the Terms
We may update these Terms to reflect operational or legal requirements. Updates will be posted on the website and become effective on the stated date. Continued use constitutes acceptance.
16. Governing Law & Dispute Resolution
These Terms are governed by Vietnamese law. Disputes will first be resolved by good-faith negotiation within 30 days. Failing that, the dispute shall be submitted to the competent courts of Ho Chi Minh City.
